These Terms apply to all visitors, users, and others who access or use the Site. We reserve the right to modify these Terms at any time. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local laws or regulations
• Transmit protected health information (PHI) through the order form or any contact form
• Attempt to gain unauthorized access to any portion of the Site or its related systems
• Use any automated means to access, scrape, or index the Site without our express written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site

The information provided on this Site is for general informational and educational purposes only. It is not intended as, and does not constitute, medical advice, diagnosis, or treatment recommendations. Nothing on this Site should be construed as a substitute for professional medical judgment.

Reimbursement is not guaranteed. Billing codes, reimbursement rates, and coverage information provided on this Site are for reference only and may change without notice. Providers are solely responsible for verifying current CMS fee schedules, MAC-specific policies, and coverage criteria before applying any product or submitting any claim.

The Site and its entire contents, features, and functionality — including but not limited to text, graphics, logos, product names, and software — are owned by Ventana BioSciences and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent, except as necessary for your own personal, non-commercial use.

Product descriptions, specifications, HCPCS codes, and clinical information on this Site are provided for informational purposes only. Ventana BioSciences reserves the right to modify product specifications, pricing, and availability at any time without notice.

All product use must comply with the applicable Instructions for Use (IFU). Providers are responsible for reading and following the IFU before applying any Ventana BioSciences product.

Use of the IVR / Order Submission portal is subject to the following additional terms:

• You must be an authorized healthcare provider or their designated representative to submit orders
• You may not submit PHI through the portal — use only de-identified patient IDs or MRNs
• Order submission does not constitute a binding contract until confirmed by Ventana BioSciences
• Per the Sales Agreement, payment is due within 45 days of delivery regardless of reimbursement status
• Ventana BioSciences reserves the right to reject any order at its sole discretion

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VENTANA BIOSCIENCES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCTS ORDERED THROUGH THE SITE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO VENTANA BIOSCIENCES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Ventana BioSciences and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Ventana BioSciences is incorporated, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in that jurisdiction.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
